If you access ValueNova software or services under a signed enterprise agreement (including any Master Services Agreement, Software Licence Agreement, Data Processing Agreement, or similar contractual arrangement), your use of those services is governed exclusively by the terms of that agreement. In the event of any conflict between these Terms and any such enterprise agreement, the enterprise agreement shall prevail.

Nothing in these Terms is intended to override, replace, or limit any rights or obligations established under a separate written contract between you (or your organisation) and ValueNova.

Our services include tools for building reusable value blueprints, guided discovery processes, and generating presentation-ready deliverables. The specific features and functionality available to you may depend on your subscription plan.

4. User Accounts

To access certain features of our services, you may be required to create an account. When you create an account, you agree to:

You retain ownership of any content you submit, post, or display on or through our services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content solely for the purpose of providing and improving our services.

If you purchase a subscription or other paid services:

You agree to pay all fees associated with your chosen plan
Fees are billed in advance on a monthly or annual basis, depending on your plan
All fees are non-refundable except as expressly stated in these Terms
We reserve the right to change our fees upon 30 days' notice
You are responsible for providing accurate billing information
Failure to pay may result in suspension or termination of your account

8. Confidentiality

We understand that you may upload confidential business information to our platform. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VALUENOVA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) OUR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
